This Terms of Service Agreement (“Agreement”) is entered into by and between Bonzale, a brand owned by Bonzale Pvt. Ltd. (“Bonzale,” “we,” “us,” or “our”), and the individual or entity (“Customer,” “you,” or “your”) accessing or using the services provided by Bonzale.

By accessing or using any of our services, you agree to be bound by the terms and conditions outlined in this Agreement.

1. Services

Bonzale provides a range of digital services including, but not limited to, website development, web hosting, domain registration, SEO, performance marketing, and other related services (collectively referred to as the “Services”). Specific details of the Services will be defined in the applicable service agreement or work order mutually agreed upon by both parties.

2. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and Bonzale’s policies. You must not use our Services to conduct or promote any illegal, harmful, or unauthorized activities.

3. Payment Terms

For all projects and services, Bonzale requires a 50% upfront payment, with the remaining 50% due upon delivery or by the due date specified in the invoice.

If the final payment is not received within 14 days from the project delivery date or invoice due date, the project and its data will be permanently removed from our CRM/server. In such a case, Bonzale or any of its team members cannot be held liable for any resulting loss.

All other payment terms will follow what is specified in the relevant agreement or invoice.

4. Intellectual Property

All designs, content, code, and intellectual property provided or created by Bonzale in the course of service delivery remain the sole property of Bonzale or its licensors unless otherwise agreed in writing. You are not permitted to use, reproduce, or distribute any such materials without prior written consent.

5. Limitation of Liability

In no event shall Bonzale, its directors, employees, affiliates, or agents be held liable for any indirect, incidental, special, or consequential damages resulting from your use of our Services, including but not limited to loss of revenue, data, or business opportunities.

6. Warranty Disclaimer

All Services are provided on an “as-is” and “as-available” basis. Bonzale disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

7. Know Your Customer (KYC)

Bonzale may request additional personal or business information under its Know Your Customer (KYC) compliance policy, as outlined on our website at https://bonzale.com/kyc. By using our Services, you agree to provide such information when requested.

8. Customer Responsibilities

Bonzale’s role is to facilitate domain management, web hosting, and development services. However, the content, operation, and legal compliance of your website is solely your responsibility.

You agree to:

• Ensure all website content complies with applicable laws,

• Accept full responsibility for site management,

• Indemnify Bonzale from any claims or damages resulting from your content or website usage.

9. Refunds & Renewals

(A) Refunds: Bonzale does not offer refunds once services are purchased and activated, as ongoing access and resource allocation are considered as service fulfillment.

(B) Renewals: It is your responsibility to ensure timely renewal of services. Non-renewal may lead to automatic suspension or deletion of accounts and associated data. Bonzale shall not be held responsible for any data loss or business disruption due to non-renewal.

10. Use of Third-Party Services

Bonzale may utilize third-party services (e.g., hosting providers, domain registrars, email platforms) as part of our offerings. These may be rebranded under Bonzale’s name. While we vet our partners carefully, we cannot guarantee the performance or security of third-party systems.

Your use of these services is subject to their individual terms and conditions. Bonzale is not liable for any issues, damages, or disputes arising from such services.

11. Governing Law

This Agreement shall be governed by the laws of Mumbai, Maharashtra, India, without regard to conflict of law principles.

12. Modifications to the Agreement

Bonzale reserves the right to modify or update this Agreement at any time. Changes will become effective upon being posted on our website. Continued use of the Services constitutes your acceptance of the updated terms.

13. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will continue in full force and effect.

14. Assignment

You may not assign your rights or obligations under this Agreement without the prior written consent of Bonzale.

15. Acknowledgment

By accessing or using Bonzale’s Services, you confirm that you have read, understood, and agreed to these Terms of Service. If you do not accept these terms, you may not use our Services.
